Legal Agreement and Binding Nature

These Terms and Conditions constitute a legally binding agreement between you and BrandGrowth Institute governing your access to and use of our website, courses, and educational services.   3. Maintain Confidentiality: You're responsible for maintaining the confidentiality of any proprietary course materials, trade secrets, or confidential information shared during your participation in our programs.
  4. Respect Others: You must treat instructors, staff, and fellow students with respect and refrain from harassment, discrimination, or any conduct that could create a hostile learning environment.

Prohibited Activities and Behaviors

You specifically agree not to:

  1. Use our services for any unlawful purpose or to solicit others to perform unlawful acts
  2. Violate any applicable regulations, codes of conduct, or third-party rights
  3. Infringe upon or misappropriate any intellectual property rights
  4. Transmit any harmful code, including viruses, malware, or trojan horses

Age Restrictions and Requirements

TO THE FULLEST EXTENT PERMITTED BY LAW, BRANDGROWTH INSTITUTE PROVIDES ITS SERVICES "AS IS" AND "AS AVAILABLE" WITHOUT ANY WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO:

  • Warranties of merchantability, fitness for a particular purpose, or non-infringement
  • Warranties that our services will be uninterrupted, secure, or error-free
  • Warranties regarding the accuracy, reliability, or completeness of content
  • Warranties that defects will be corrected or that our servers are free of harmful components

We don't warrant that our courses will result in specific career outcomes, skill levels, or business results. Educational success depends on individual effort, prior knowledge, market conditions, and many other factors beyond our control.

Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, BRANDGROWTH INSTITUTE SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY, OR ANY LOSS OF DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM:

  1. Your access to, use of, or inability to access or use our services
  2. Any conduct or content of any third party on our services
  3. Any content obtained from our services
  4. Unauthorized access, use, or alteration of your transmissions or content

In jurisdictions where limitation of liability is not permitted, our liability is limited to the greatest extent permitted by law. In no event shall our total liability exceed the amount you paid to us in the six months preceding the claim.

Consequential Damages Exclusion

Under no circumstances shall BrandGrowth Institute be liable for any loss of income, business, profits, or revenue; loss of contracts or anticipated savings; loss of data; loss of goodwill; wasted expenditure; or any indirect, consequential, or special loss or damage of any kind howsoever arising and whether caused by tort (including negligence), breach of contract, or otherwise.

Force Majeure Provisions

We're not liable for any failure or delay in performance due to circumstances beyond our reasonable control, including but not limited to acts of God, war, terrorism, riots, embargoes, acts of civil or military authorities, fire, floods, accidents, pandemics, strikes, or shortages of transportation, facilities, fuel, energy, labor, or materials.

Legal Framework and Dispute Resolution

Governing Law and Jurisdiction

These Terms and Conditions are governed by and construed in accordance with the laws of Japan, without regard to its conflict of law provisions. Any legal action or proceeding arising under these terms shall be brought exclusively in the courts of Tokyo, Japan, and you consent to the personal jurisdiction of such courts.

Dispute Resolution Procedures

If you have any dispute with us, we encourage you to first contact us directly to seek an informal resolution. Most concerns can be resolved quickly and amicably through direct communication.

If informal resolution isn't successful, you agree that any disputes shall be resolved through binding arbitration in accordance with the rules of the Japan Commercial Arbitration Association, conducted in Tokyo, Japan, in the English language. The arbitrator's decision shall be final and binding.

Notwithstanding the above, either party may seek injunctive or other equitable relief in any court of competent jurisdiction to protect intellectual property rights or confidential information.

Severability Clause

If any provision of these Terms and Conditions is found to be unlawful, void, or unenforceable by a court of competent jurisdiction, that provision shall be deemed severable from these terms and shall not affect the validity and enforceability of any remaining provisions. The unenforceable provision shall be replaced with an enforceable provision that most closely reflects the original intent.

Terms Modification Policy

We reserve the right to modify these Terms and Conditions at any time. When we make changes, we will:

  • Update the "Last updated" date at the top of this page
  • Notify enrolled students via email for material changes
  • Provide reasonable notice before changes take effect

Your continued use of our services after modifications become effective constitutes acceptance of the updated terms. If you don't agree with the changes, you should discontinue use of our services.

Additional Provisions

Entire Agreement

These Terms and Conditions, together with our Privacy Policy and any specific course agreements, constitute the entire agreement between you and BrandGrowth Institute regarding your use of our services and supersede all prior or contemporaneous communications and proposals, whether oral or written.

Assignment

You may not assign or transfer these terms or your rights and obligations under these terms without our prior written consent. We may assign these terms to any affiliate or in connection with a merger, acquisition, or sale of assets without restriction. Any attempted assignment in violation of this section is void.

Waiver

No waiver of any term of these Terms and Conditions shall be deemed a further or continuing waiver of such term or any other term. Our failure to assert any right or provision under these terms shall not constitute a waiver of such right or provision.

Survival

Provisions that by their nature should survive termination of these terms shall survive, including but not limited to ownership provisions, warranty disclaimers, indemnification obligations, and limitations of liability.
